Reproductive Freedom for All (c4) and Reproductive Freedom for All Foundation (c3) (“the Organization”) is seeking a qualified vendor to manage the process to allow the Organization to do business within respective states.Organization Background
Reproductive Freedom for All fights for reproductive freedom for every person in every state. We organize and mobilize to ensure everybody has access to abortion care, birth control, paid family and sick leave, and pregnancy discrimination protections.
Project Overview
Reproductive Freedom for All (c4) and Reproductive Freedom for All Foundation (c3) (“the Organization”) is seeking a qualified vendor to manage the process to allow the Organization to do business within respective states. This process includes following requirements for charitable and corporate registrations. The selected vendor will serve as the primary administrator, ensuring that both entities of the Organization are legally authorized to solicit donations in all required jurisdictions.
As the manager of Charitable State Registrations, Corporate Registrations, Renewals, and Registered Agent Services, the vendor will be responsible for securing the necessary documentation from the organization in order to prepare and file the respective applications. The vendor will also be responsible for managing all related deadlines, and processing required filing fees in a timely manner. The vendor will also be expected to maintain biweekly written communication with the Organization regarding filing statuses, needed documentation or other issues are resolved to ensure that the Organization remains in compliance with State requirements.
Consultant should have:
- Minimum of 7+ years of experience in the non-profit compliance field with a strong knowledge of working with multi-state charitable registration and renewal processing, as well as corporate registrations.
- Comprehensive knowledge of the state charitable regulations and familiarity with IRS Form 990 reporting requirements.
- Proficiency in the tracking of the annual state registrations, renewals, and corporate registrations, with the ability to determine the requirements from the states.
- Ability to identify and provide a registered agent to serve as the Organization’s official point of contact to receive legal and official documents from states as necessary.
- Effective deadline management, ensuring all filing due dates are met and avoiding any lapse in registration.
- Excellent communication skills, including engaging and representing the Organization with agencies, including respective state’s Office of the Attorney General or the Secretary of State.
- Demonstrated success in collaborating effectively and efficently with client organizations personnel, finance, and development staff.
- Demonstrated ability to translate technical information in a digestible way
- Strong attention to detail and accuracy.
- Understanding of gross vs. net contributions, fundraising costs, and their implications for state filings.
- Commitment to confidentiality in handling sensitive information.
- Experience managing state issues, including filing rejections, deficiency notices, and lapsed registrations—while communating to Reproductive Freedom for All in a timely manner.
- Strong research and follow-up skills, and the ability to identify and timely request missing documents.
- Strong document management skills, including securing confidential financial statements, board lists, fundraising contracts, articles of incorporation and bylaws needed in the filing process.
- Demonstrated alignment with the Organization’s mission and core values.
RFP Objectives
The Organization seeks a consultant/vendor to:
- Establish and maintain full compliance with charitable solicitation, to include corporate registration, and renewal requirements in all applicable states.
- Effectively manage multi-state compliance operations, ensuring accuracy and efficiency.
- Develop a streamlined and transparent process for managing filings, deadlines, document collection, and state requirements.
- Reduce internal workload by taking the lead on gathering documents, preparing filings, submitting renewals, and managing the follow-up with the Attorney General’s Office and Secretary of State offices.
- Ensure all registrations are accurate, complete, and timely, with all required supporting documentation to minimize risk of deficiencies, delays, or penalties.
- Provide expert guidance on state charitable registration laws, regulatory updates, exemptions, and compliance strategies.
- Provide clear and consistent status updates, including bi-weekly progress reports outlining completed filings, upcoming deadlines, outstanding requirements, and items needed from staff.
Budget Details
The estimated budget for filing, registration, and service fees is $25,000
The vendor is expected to pay all costs upfront on behalf of the Organization and invoice the Organization for reimbursement.
